Business Terms
Last updated: [effective date]
These Business Terms (the “Business Terms”) are an additional agreement between [Company legal name] (“Buyosh”) and any user who creates or operates a business on the Buyosh platform (a “Business”). They apply on top of the general Terms of Service and Privacy Policy. By creating a business you accept these Business Terms.
1. Your account and role
A single Buyosh account can act both as a customer and as a Business. Accepting these Business Terms adds the seller relationship to your account; it does not replace the general Terms you accepted at signup.
You confirm you are authorized to operate the Business and to accept these Business Terms on its behalf.
2. Listings, prices, and availability
You are solely responsible for the accuracy of your menu or catalog, prices, descriptions, photos, hours, and service area. Prices you set are the prices customers pay, including any applicable taxes you are required to collect.
You must keep availability current and honor orders placed against your published listings and hours.
3. Fulfilling orders
When you accept an order you commit to preparing and fulfilling it as described (pickup or delivery). If you cannot fulfill an accepted order, you must cancel promptly so the customer can be refunded.
You are responsible for the quality and safety of the items you sell.
4. Fees and payouts
Buyosh may charge fees or a commission for use of the platform. [Fee/commission schedule, billing cycle, and any minimums to be set with legal/finance.]
Where online payments are enabled, funds from paid orders are settled to you via the payment provider and any payout arrangement described in your account. [Payout timing and method to be confirmed.]
5. Taxes
You are responsible for determining, collecting, reporting, and remitting all taxes applicable to your sales. Buyosh does not provide tax advice and is not your tax agent unless expressly agreed in writing.
6. Legal compliance and licensing
You must comply with all laws and hold all licenses and permits applicable to your business — including consumer-protection, food-safety, health, and labeling requirements where relevant.
You must not list illegal, unsafe, recalled, counterfeit, or age-restricted items in violation of applicable law.
7. Your content and our license
You retain ownership of your business name, logo, photos, and listing content. You grant Buyosh a non-exclusive license to host, display, and promote that content within the Service to operate the marketplace and market your storefront.
You confirm you have the rights to the content you upload and that it does not infringe others’ rights.
8. Data and customer information
Customer information you receive through the Service (such as a customer’s name, order, and — for delivery — address and contact details) may be used only to fulfill and support that order and as permitted by law and the Privacy Policy. You must not sell it or use it for unrelated marketing without a lawful basis and consent.
9. Suspension, delisting, and termination
Buyosh may unpublish, suspend, or remove a listing or Business, or limit access, to protect customers, couriers, the platform, or the public, or where you breach these Business Terms or the law.
You may close your Business at any time; obligations relating to open orders, fees, taxes, and records survive closure.
10. Warranties and liability
You represent that your listings are accurate and your business is operated lawfully. As between you and Buyosh, you are responsible for the items you sell and any claims arising from them.
Buyosh’s liability under these Business Terms is limited to the extent permitted by law. [Limitation-of-liability cap, indemnity, and insurance requirements to be set with legal counsel.]
11. Changes to these Business Terms
Buyosh may update these Business Terms. Material changes will be notified by reasonable means, and continued operation of your Business after they take effect means you accept the updated Business Terms. Your acceptance is recorded with its version and date.
12. Governing law
These Business Terms are governed by the laws of the State of Israel, and the competent courts of [jurisdiction — e.g. Tel Aviv] have exclusive jurisdiction, except where mandatory law provides otherwise.
